§1Scope
These Terms & Conditions apply to all business relationships between ZM Ecom Group (full address: Griva Digeni, 78, 2nd floor, Flat/Office B1, Neapoli, 3101, Limassol, Cyprus) and the Client. Any deviations from these terms require written agreement. By engaging our services, you agree to be bound by these conditions.
§2Scope of Services
ZM Ecom Group provides the following services:
- Social media marketing and management
- Digital marketing consulting and strategy development
- Customer support and communication services
- Additional services as agreed in writing
We may engage qualified subcontractors to deliver services. The Client will be informed of any subcontractors involved. Any changes to the scope of services require written agreement from both parties.
§3Proposals and Contract Formation
Proposals, quotations, and estimates provided by ZM Ecom Group are non-binding unless explicitly stated otherwise. A binding contract is formed either through written confirmation from ZM Ecom Group or upon delivery of agreed services. Electronic communications (including email) constitute valid written confirmation for contract formation purposes.
§4Fees and Payment
All fees are quoted in EUR (Euro) and are exclusive of applicable VAT (Value Added Tax), which will be added to invoices according to Cyprus tax law. Payment terms are as follows:
- Invoices are due within 14 days from the invoice date
- Late payments accrue interest at 2% per month or the maximum legally permitted rate, whichever is lower
- For ongoing contracts, monthly billing applies unless otherwise agreed
- Payment must be made to the bank account specified on the invoice
- ZM Ecom Group reserves the right to suspend services for non-payment
§5Client's Obligations
The Client commits to:
- Provide all necessary materials, information, and access required to deliver services in a timely manner
- Designate a primary contact person for project communication
- Ensure all provided content complies with applicable laws and does not infringe third-party rights
- Respond to requests for feedback and decisions within agreed timeframes
Delays caused by the Client release ZM Ecom Group from liability for service delivery delays and may result in adjusted timelines or additional fees for expedited services.
§6Intellectual Property
All work product, including but not limited to designs, strategies, content, and materials created by ZM Ecom Group, is protected by copyright and remains the intellectual property of ZM Ecom Group.
Upon full payment of all fees, the Client receives a simple, non-exclusive, non-transferable license to use the work product for the purposes agreed in the contract. This license does not permit transfer to third parties without prior written consent from ZM Ecom Group.
ZM Ecom Group retains the right to use completed work as portfolio examples and case studies, subject to confidentiality obligations.
§7Confidentiality
Both parties agree to maintain the confidentiality of any non-public information shared during the business relationship, including business strategies, financial data, and technical information. This obligation survives termination of the contract for a period of three years, or longer if required by law. Exceptions apply to information that is publicly available or legally required to be disclosed.
§8Limitation of Liability
No Guarantee of Marketing Results: ZM Ecom Group does not guarantee or warrant specific results from marketing services, including but not limited to reach, impressions, follower growth, engagement rates, conversions, or revenue. Marketing effectiveness depends on numerous factors beyond our direct control, including platform algorithms, market conditions, and audience behavior.
Liability Limitations:
- Unlimited Liability: ZM Ecom Group assumes unlimited liability for willful misconduct, gross negligence, and personal injury claims.
- Limited Liability: For cases of ordinary negligence, liability is limited to the foreseeable, typical damages directly arising from the breach, not to exceed the fees paid by the Client in the 12 months preceding the claim.
- ZM Ecom Group is not liable for indirect, incidental, consequential, or punitive damages, including loss of profit or business opportunity.
§9Term and Termination
The term of the contract is as specified in the service agreement. For ongoing contracts without a specified end date, either party may terminate with 30 days written notice. Termination for cause (material breach not remedied within 14 days of notice) is permitted at any time. Termination must be provided in writing; email constitutes valid written notice.
Upon termination, the Client must pay all fees for services rendered and outstanding invoices. ZM Ecom Group may delete all Client data and materials following 30 days after contract termination unless otherwise required by law.
§10Data Protection
ZM Ecom Group processes personal data in accordance with applicable data protection laws, including the General Data Protection Regulation (GDPR). Please refer to our Privacy Policy for detailed information on how we collect, process, and protect personal data.
Where required by data protection regulations, ZM Ecom Group will execute a Data Processing Agreement (DPA) with the Client upon request.
§11Final Provisions
Governing Law: These Terms & Conditions are governed by the laws of the Republic of Cyprus, excluding the United Nations Convention on Contracts for the International Sale of Goods (CISG).
Jurisdiction: For disputes involving business clients, the courts of Limassol, Cyprus have exclusive jurisdiction. Consumers may pursue claims in their home jurisdiction if permitted by applicable law.
Severability: If any provision of these Terms & Conditions is found invalid or unenforceable, the remaining provisions remain in effect, and the invalid provision will be modified to the minimum extent necessary to make it valid.
Written Form Requirement: Any modifications, supplements, or waivers of these Terms & Conditions must be provided in writing to be valid. Electronic written communications are accepted.
